Summary:
Under general supervision of the Director of Practice Support and according to established policies and procedures, performs a variety of duties with respect to transactions, presentations, business information and client communication projects in support of the Executive Compensation and Benefits group, maintaining direct daily contact with attorneys and support staff. Observes confidentiality of firm matters.
Essential Duties and Responsibilities:
- Work directly with attorneys and clients on all phases of a corporate transaction, including due diligence, negotiating sessions, transaction signings, research, and transaction closings.
- Assist attorneys with preparation of transaction documents, including disclosure schedules, equity award documentation and compensation diligence materials.
- Conduct research on compensation disclosure and benchmarking.
- Maintain and organize department models, forms and precedent files.
- Proofread transaction documents.
- Firm projects (e.g., analyzing deal data, assisting attorneys with preparation of materials for speaking engagements and law school courses, research as requested).
Knowledge, Skills, and Abilities Required:
- Ability to work independently and as part of a team.
- Ability to work efficiently in a fast-paced, highly pressured environment and multi-task and prioritize numerous tasks.
- Excellent organizational skills and attention to detail.
- Excellent written and interpersonal communication skills.
- Interest in the legal field.
- Computer skills (MS Office and Adobe Professional) and ability to quickly learn and adapt to new technologies.

- Flexibility to work extended hours, including evenings, weekends, and holidays as needed.Β
- Desire to work closely and directly with a group of specialized lawyers on transactions, governance and related matters.
Education and Experience:
- Bachelorβs degree required.
- Minimum of 5 years related experience in a transactional law practice, preferably with exposure to executive compensation and benefits.
Working Conditions:
- Normal office environment with little exposure to excessive noise, dust, temperature, etc.

The base salary offer is based on a variety of factors which includes, but not limited to, qualifications, education and experience.
